Terms & Conditions - CALYBRATE PLATFORM

These Terms and Conditions (“Terms”) govern access to and use of the Calybrate Platform (“Platform” or “Calybrate”), operated by Sandbox Consultancy Services Pvt Ltd (“Sandbox”, “we”, “our”, or “ us”).

Calybrate is an assessment platform that allows authorised users and company representatives, including HR officers, to launch, manage, and participate in assessments based on organisational requirements. The available assessment solutions may include Caly brate Me, Calybrate 180, Calybrate 360, and Calybrate Culture Assessments.

By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility and Access

Access to the Platform is restricted to authorised users, which may include:

  • Individual assessment participants
  • Respondents invited to provide feedback or ratings
  • Authorised company HR officers or organisation administrators
  • Internal Sandbox administrators, consultants, and support teams
  • Other users approved by Sandbox or the relevant client organisation

Users are responsible for maintaining the confidentiality of their login credentials and for all activities carried out under their account.

Sandbox reserves the right to grant, restrict, suspend, or revoke access to the Platform where necessary, including in cases of misuse, unauthorised access, breach of these Terms, or completion of the relevant assessment requirement.

2. Permitted Use

Users agree to use Calybrate only for authorised assessment - related purposes.

This may include:

  • Launching and managing authorised assessments
  • Completing assigned assessments
  • Providing feedback, ratings, or responses where invited
  • Viewing report s , dashboards, or insights where access has been granted
  • Managing assessment - related information within the permissions assigned to the user

Users shall not:

  • Use the Platform for any unlawful, unauthorised, misleading, or harmful purpose
  • Attempt to access data, reports, dashboards, or accounts without permission
  • Interfere with, disrupt, damage, or misuse Platform functionality
  • Share login credentials with any unauthorised person
  • Upload or submit false, offensive, defamatory, confidential, or legally restricted content
  • Copy, extract, reproduce, download, or reverse - engineer assessment content, reports, analytics, or system outputs without prior written permission from Sandbox

3. Assessment Administration

Calybrate Me, Calybrate 180, and Calybrate 360 Assessments may be launched and managed directly by authorised users or company HR officers, subject to the permissions provided within the Platform.

Calybrate Culture Assessments require Sandbox’s consulting involvement. Organisations that wish to conduct Culture Assessments must contact Sandbox for the relevant consulting support, configuration, administration, interpretation, and reporting process.

Sandbox may provide support, guidance, analytics, reporting, or consulting services depending on the assessment type and agreed scope with the client organisation.

4. Intellectual Property

All content, materials, features, tools, methodologies, and outputs available through Calybrate are the intellectual property of Sandbox or its licensors, unless otherwise stated.

This includes, but is not limited to:

  • Assessment scoring logics
  • Reports, dashboards, analytics, and insights
  • Platform design, workflows, system architecture, and user interface
  • Assessment methodologies, research findings, and proprietary frameworks
  • Any related documents, templates, visualisations, or outputs generated through the Platform

Users may not copy, reproduce, distribute, modify, publish, reverse - engineer, commercially exploit, or use any Platform content or output outside the authorised purpose without prior written consent from Sandbox.

5. Data Privacy and Confidentiality

Use of the Platform is subject to Sandbox’s Privacy Policy.

By using Calybrate, users acknowledge that:

  • Personal, organisational, and assessment - related data may be collected and processed for assessment administration, reporting, analytics, support, and platform improvement
  • Assessment responses, ratings, comments, reports, and dashboard outputs may be processed based on the assessment type and agreed scope
  • Relevant data may be shared with authorised Sandbox teams and client organisations in agreed formats
  • Aggregated or anonymised data may be use d for benchmarking, research, product improvement, or analytical purposes
  • Access to personal and assessment - related data is restricted based on user role, assigned permissions, assessment type, and agreed client requirements

Users must treat all assessment information, feedback, reports, dashboards, and organisational insights accessed through the Platform as confidential, unless authorised for wider sharing.

6. User Content and Submissions

Any content submitted through t he Platform, including assessment responses, ratings, feedback, comments, organisational data, or supporting information:

  • Must be accurate to the best of the user’s knowledge
  • Must be lawful, respectful, and appropriate
  • Must not infringe any third - party rights
  • Must not disclose confidential, sensitive, or restricted information unless authorised
  • Must not contain offensive, discriminatory, defamatory, misleading, or harmful content

By submitting cont ent to the Platform, users grant Sandbox the right to process and use such content for authorised assessment administration, reporting, analytics, consulting, support, and platform improvement purposes, in line with the Privacy Policy and agreed client req uirements.

7. Client Organisation Responsibilities

Where a client organisation or authorised HR officer launches or manages assessments through Calybrate, they are responsible for:

  • Ensuring that users invited to participate are authorised and relevant to the assessment
  • Providing accurate user, reporting, and organisational information
  • Managing user access within their assigned permissions
  • Communicating assessment requirements, timelines, and expectations to participants
  • Ensuring that their use of the Platform complies with internal policies, employment obligations, confidentiality requirements, and applicable laws

Sandbox is not responsible for inaccurate, incomplete, or unauthorised inf ormation submitted by client organisations or their authorised users.

8. Platform Availability

Sandbox commits to maintaining the availability, security, and functionality of the Platform.

However, Sandbox does not guarantee 24/7 uptime or error - free operation.

Sandbox shall not be liable for:

  • Temporary system interruptions
  • Technical errors or delays​
  • Maintenance - related downtime
  • Failures caused by third - party systems, internet service providers, hosting providers, or events beyond Sandbox’ s reasonable control

9. Limitation of Liability

To the maximum extent permitted by law, Sandbox shall not be liable for:

  • Any indirect, incidental, special, or consequential loss
  • Loss arising from user actions, omissions, misuse, or unauthorised access
  • Loss arising from reliance on assessment outputs without appropriate professional, organisational, or consulting interpretation
  • Data loss caused by user negligence, incorrect submissions, or unauthorised account sharing
  • Decisions made by client organisations based on assessment results, reports, dashboards, or insights

Assessment outputs are intended to support organisational understanding, reflection, development, and decision - making. They should not be treated as the sole basis for employment, disciplinary, promotion, termination, or other high - impact decisions without proper review and contextual interpretation.

10. Assessment Results Disclaimer & Limitation of Liability

Assessment Results Are Informational Only

Calybrate assessment results, reports, scores, insights, and recommendations are provided for organisational development, reflection, and decision - support purposes only. They are NOT professional advice, professional diagnoses, or substitutes for professio nal judgment.

No Liability for Client Decisions

Sandbox shall NOT be liable for any decisions, actions, or outcomes resulting from a client organisation's use of assessment results, including but not limited to:

  • Hiring, promotion, demotion, or termination decisions
  • Succession planning or development decisions
  • Team restructuring or role assignment decisions
  • Coaching or performance management interventions
  • Any other business decisions based on assessment outputs

Clients acknowledge that assessment results must be interpreted with appropriate professional context, organisational judgment, and where applicable, consultation with HR specialists, psychologists, or other relevant professionals.

Client Responsibility

Each client organisation is solely responsible for:

  • Interpreting assessment results appropriately and in context
  • Obtaining professional advice where necessary before making consequential decisions
  • Complying with employment law, anti-discrimination laws, and internal policies when using assessment results
  • Ensuring assessment results are used ethically and fairly

No Warranty of Accuracy or Suitability

Sandbox does not warrant that assessment results are accurate, complete, predictive, or suitable for any particular purpose. Assessment outputs are based on responses provided by participants and should not be treated as objective truth or scientific certa

11. Calybrate Ownership & IP

Calybrate is the exclusive intellectual property of Sandbox. Client organisations have a limited license to use Calybrate for their internal assessment purposes only.

Clients acquire no ownership rights, equity interest, or claim to the Platform or underlying IP.

Sandbox reserves the right to commercialise, license, or spin off Calybrate as a standalone product at any time.

Sandbox retains exclusive rights to commercialise, license, rebrand, or operate Calybrate as a standalone product, separate service, or subsidiary company at any time, in any market, and in any form. Client organisation s acquire no rights to the Platform or underlying intellectual property and cannot claim ownership or equity if Sandbox exercises these rights

12. Suspension and Termination

Sandbox reserves the right to suspend, restrict, or terminate access to the Platform if:

  • A user breaches these Terms
  • A user misuses the Platform or attempts unauthorised access
  • A user submits harmful,unlawful, or inappropriate content
  • Access is no longer required due to completion, closure, or cancellation of an assessment
  • The relevant client organisation requests access removal
  • Continued access creates a security, confidentiality, operational, or legal risk

13. Amendments

Sandbox may update these Terms from time to time to reflect changes to the Platform, assessment services, operational requirements, legal obligations, or internal policies.

Continued use of Calybrate after any updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Sri Lanka.

15. Contact

For any questions regarding these Terms, users may contact Sandbox through the designated Platform, assessment, or support channels.

16. Calybrate Code of Conduct

Users of Calybrate are expected to:

  • Maintain professional, respectful, and ethical conduct
  • Use the Platform only for authorised assessment-related purposes
  • Submit accurate and appropriate information
  • Respect the confidentiality of assessment content, responses, reports, dashboards, and organisational insights
  • Avoid sharing login credentials or accessing information without permission
  • Engage responsibly with all Platform activities

Non-compliance may result in:

  • Restriction of access
  • Suspension or termination of account access
  • Removal from assessment participation
  • Reporting of misuse to the relevant client organisation
  • Any other action deemed necessary by Sandbox based on the nature of the breach
